Buyer Data License Terms

These terms describe the minimum de-identification, security, deletion, and no-re-identification obligations required in a Present Index buyer agreement.

They apply when incorporated into an agreement under which Present Index provides Licensed Data to a buyer or other authorized recipient.

Definitions

  • Present Index means the provider of Licensed Data under a buyer agreement.
  • Licensee means the buyer or other recipient authorized to receive Licensed Data.
  • Licensed Data means de-identified conversation data, usage reports, and generalized demographic attributes delivered under a buyer agreement.
  • Re-Identification means any attempt, successful or not, to identify a person who contributed or is referenced in Licensed Data, including by inference, linkage, or derivation.

De-identified status

Present Index processes Licensed Data to remove or replace direct personal identifiers and delivers it on a de-identified basis. Licensee must receive, use, and maintain Licensed Data only in de-identified form.

No re-identification

  • Licensee must not attempt to re-identify any person from Licensed Data.
  • Licensee must not link or combine Licensed Data with another dataset or information source for the purpose or effect of identifying a person.
  • Licensee must not use contextual details, writing style, metadata, or pseudonymous labels to infer identity.
  • Licensee must not contact, target, profile, or make a decision about an identifiable person based on Licensed Data.

Downstream recipients

Licensee may disclose Licensed Data to an affiliate, contractor, or permitted sublicensee only under written terms at least as protective as these Buyer Data License Terms, including the same no-re-identification and downstream requirements. Licensee remains responsible for each recipient's compliance.

Safeguards

Licensee must protect Licensed Data with technical and organizational measures no less protective than those used for its own confidential information and never less than reasonable industry practice. Safeguards must include access controls and encryption in transit and at rest.

Inadvertent identification

If Licensee discovers that a person is or may be identifiable from Licensed Data, it must stop using and disclosing the affected data, notify Present Index within five business days, and delete or return the affected data as directed. Good-faith discovery and prompt handling under this section is not itself a breach; using or disclosing the identified information is.

Deletion support

After a written request identifying affected records by contributor identifier, Licensee must delete the corresponding Licensed Data from its systems within 30 days and confirm deletion in writing. Licensee is not required to delete or retrain a machine-learning model trained before the request, provided it does not extract, reconstruct, or attempt to recover deleted records from that model.

Certification

No more than once annually, Present Index may require Licensee to certify compliance with these Buyer Data License Terms or provide an appropriate independent attestation. Licensee must reasonably cooperate with an investigation of a suspected breach.

Remedies

A breach of the no-re-identification, downstream-recipient, or inadvertent-identification requirements is a material breach. Present Index may terminate access, require deletion, seek injunctive relief, and pursue other remedies available under the buyer agreement or applicable law.

Compliance with law

Licensee must process Licensed Data in compliance with applicable privacy and data-protection laws. Where a law imposes commitments on a recipient of de-identified data, Licensee agrees to refrain from re-identification and to impose equivalent requirements on every downstream recipient.
